The lawyers of the Business Law Section have dealt with all aspects of securities laws, representing issuers and brokers – dealers in connection public offerings, private placements, SEC reporting, proxy matters, securities arbitrations and defense of enforcement actions.

Our Business Law Section lawyers know how to organize businesses, taking into consideration the alternative forms of operating a business, capitalization matters and security law requirements. Our lawyers are involved in drafting various business agreements for the internal operations of the business such as stockholders agreements, operating agreements, partnership agreements, voting trust agreements, employment agreements, stock, option agreements and a variety of other business governance agreements.

The Firm’s lawyers are also involved in representing companies in their day-to-day operations including contract drafting and review for loan documentation, security agreements, dealer agreements, products sales agreements, service agreements and a wide variety of other agreements and documents necessary to facilitate the operations of our clients’ businesses.
